Wyche Corporate Lawyers Wrapped Up 2012 with a Flurry of Deal Closings Collectively Valued at Over $650 Million

GREENVILLE, S.C. – The Wyche corporate lawyers wrapped up 2012 with a flurry of deal closings including six acquisitions, four corporate financing deals, one merger, and the sale of one client’s business. The total value of these transactions is over $650 Million.

Melinda Davis Lux, an experienced M&A attorney, took the lead on a number of these corporate deals over the holidays. She assisted longtime Wyche client Milliken & Company, a global innovation company based in Spartanburg, SC, with the purchase of GeoTree Technologies, Inc., a geopolymer-based materials provider headquartered in Colorado. Melinda and the Wyche corporate team aided Stretch Associates, a local company that manufactures and distributes stretch film and packaging products nationally, with the purchase of Snead Paper Company, Inc., a distributor of packaging and janitorial supplies to industrial, commercial, institutional and government accounts. Melinda also assisted several other private companies with acquisition and corporate financing transactions before year-end.

Terrell Mills, co-chair of the Wyche corporate practice, handled a number of sophisticated corporate deals. Terrell assisted a well established client in obtaining a new credit facility and another client in launching a private placement offering. Terrell also worked with Selah Genomics Inc. on its management buy-out of Lab21 Inc., the US subsidiary of Lab 21 Ltd., led by the existing Lab21 Inc. management team. Nexus Medical Partners, SCRA Technology Ventures’ Stage 2 Affiliate, SC Launch and the Greenville Local Development Corporation supported the buyout.

Eric Graben, a corporate lawyer who focuses on securities and M&A transactions, represented Berger Group Holdings, Inc., a global engineering firm with annual revenues of $1 billion headquartered in Morristown, N.J., and its subsidiary Louis Berger Services, Inc. headquartered in Greenville, S.C., in the acquisition of Hawthorne Services, Inc. of Charleston, S.C, a 350-employee firm specializing in facility services and fueling operations at airfields and military bases. Eric worked closely with Berger Group Holdings General Senior Vice President and Counsel, Michael Reap, and Louis Berger Services CEO, Steve Townes, on the transaction.

Cary Hall, a tax specialist and senior leader on the corporate team, represented local company Furman Insurance in its acquisition of a division of Property and Casualty Operations of Benefit Source, Inc. (BSI). The acquisition into its existing agency will provide Furman Insurance a broader, more dynamic platform to serve their clients, and brings experienced personnel, additional insurance company contracts and increased marketing capabilities.

The Wyche corporate team provided well-rounded support for each of these deals, working closely with lawyers from other practice groups, including environmental, real estate, employment, and employee benefits as needed.
