Whether a joint venture or public-private partnership, such arrangements are often complex and detailed, and involve uncharted legal ground.
We have represented private entities in structuring, negotiating and drafting agreements with governmental entities for significant public projects, including:
- Represented the developer in connection with the structuring of the private-public arrangement, the drafting and negotiation of the primary contracts, and the financing for the largest arena in the Upstate of South Carolina.
- Represented the developer/construction manager in connection with the drafting and negotiation of the Development, Program Management and Construction Management Agreement with the School District of Greenville County for its $1 billion facilities construction program.
We have also represented private entities in structuring, negotiating, and drafting agreements with other private entities, including:
- Represented the manufacturer in establishment of a joint venture arrangement with a technology manufacturing company to develop, manufacture and market new products.
- Represented a significant manufacturer in the negotiation and drafting of agreements to outsource a portion of its operations and subsequently in unwinding the outsourcing relationship.
